Definitions<\/strong> \u00a7 1<\/strong><\/p>\n\n\n\n

\u201eSeller” \/ \u201eTOTE” \u2013 TOTE sp\u00f3\u0142ka z ograniczon\u0105 odpowiedzialno\u015bci\u0105 with its registered office in \u017bory, address: ul. Bory\u0144ska 7, 44-240 \u017bory, Poland, entered in the National Court Register under KRS no.: 0000823488, NIP (tax ID): 6351853286, REGON: 385360220, share capital: PLN 5,000.00.<\/p>\n\n\n\n

\u201eThe innubio.com Online Shop” (also \u201eShop” \/ \u201eSite” \/ \u201eWebsite”) \u2013 the online shop available at https:\/\/innubio.com\/<\/a>.<\/p>\n\n\n\n

\u201eCustomer” \u2013 a natural person with full or limited capacity to perform legal acts, a legal person, or an organisational unit without legal personality but having legal capacity, who uses the Shop, including making purchases.<\/p>\n\n\n\n

\u201eConsumer” \u2013 a Customer who is a natural person making purchases in the Shop for purposes not directly related to their business or professional activity within the meaning of Article 22(1) of the Polish Civil Code.<\/p>\n\n\n\n

\u201eEntrepreneur-Consumer” \u2013 a natural person conducting business activity registered in CEIDG (the Polish Central Register and Information on Business) who concludes an agreement directly related to that activity but not of a professional character for them (on the basis of the PKD codes disclosed in CEIDG); to the extent laid down by law, such a person enjoys the protection afforded to Consumers.<\/p>\n\n\n\n

\u201eGoods” \/ \u201eProduct” \u2013 a movable item offered for sale in the Shop (in particular drugstore products, cosmetics and supplements).<\/p>\n\n\n\n

\u201ePrice” \u2013 the gross price of the Product (including VAT), excluding delivery costs, stated in Polish zloty (PLN).<\/p>\n\n\n\n

\u201eOrder” \u2013 a declaration of intent by the Customer aimed directly at concluding a Sales Agreement, specifying at least the type and number of Products and the method of payment and delivery.<\/p>\n\n\n\n

\u201eSales Agreement” \u2013 a distance contract for the sale of goods concluded between the Seller and the Customer through the Shop.<\/p>\n\n\n\n

\u201eBusiness day” \u2013 a day from Monday to Friday, excluding public holidays.<\/p>\n\n\n\n

\n\n\n\n

\u00a7 2<\/strong><\/p>\n\n\n\n

\u00a7 3<\/strong><\/p>\n\n\n\n

Use of the Shop requires a device with Internet access, an up-to-date web browser and an active e-mail address. It is prohibited to supply unlawful content or to use the Shop in a manner contrary to the law or to good practice, or in a way that infringes the personal rights of third parties.<\/p>\n\n\n\n

\n\n\n\n

\u00a7 4<\/strong><\/p>\n\n\n\n

Information about Products, including their descriptions, specifications and Prices, constitutes an invitation to conclude a contract within the meaning of Article 71 of the Polish Civil Code. Orders are placed through the Shop interface. The Seller confirms receipt of the Order without delay by sending an e-mail to the Customer’s address. The Sales Agreement is concluded upon that confirmation. The Customer is obliged to provide data consistent with the facts. The Seller may refuse to process an Order in the event of obvious errors in Prices or unavailability of the Product \u2013 of which the Seller will inform the Customer without delay and refund any payments received.<\/p>\n\n\n\n

\u00a7 5<\/strong><\/p>\n\n\n\n

The Shop accepts online payments through the PayU payment operator. The available payment methods are shown when the Order is placed. If payment is not credited within 7 days of the Order being placed, the Order is cancelled.<\/p>\n\n\n\n

\u00a7 6<\/strong><\/p>\n\n\n\n

Delivery is carried out within the territory of the Republic of Poland via courier companies and InPost Parcel Lockers. Collection in person is also available at: ul. Cieszy\u0144ska 17, 62-800 Kalisz, Poland. Because goods are held in several warehouses, a single Order may be fulfilled in more than one shipment. Splitting an Order into several shipments does not affect the total delivery cost indicated when the Order is placed. The estimated delivery time is shown during the ordering process and should not exceed 30 days from conclusion of the Sales Agreement.<\/p>\n\n\n\n

\u00a7 7<\/strong><\/p>\n\n\n\n

The Prices given in the Shop are gross prices and do not include delivery costs, which are indicated separately when the Order is placed. Promotions and discount codes cannot be combined unless the terms of a given promotion provide otherwise.<\/p>\n\n\n\n

\u00a7 8<\/strong><\/p>\n\n\n\n

A Consumer and an Entrepreneur-Consumer have the right to withdraw from a Sales Agreement concluded at a distance within 14 days without giving any reason. The withdrawal period begins when the Customer, or a third party indicated by the Customer other than the carrier, takes possession of the Product (in the case of multiple Products \u2013 when the last of them is taken into possession). To exercise the right of withdrawal, a declaration of withdrawal must be submitted to the Seller, for example by e-mail to: contact@innubio.com<\/a>. The Seller will confirm receipt of the declaration on a durable medium. The Customer is obliged to return the Product without delay, and no later than 14 days from the day on which they withdrew from the agreement. The return must be sent to the address indicated by the Seller in response to the declaration of withdrawal. The Seller refunds the payments (including delivery costs up to the amount of the cheapest standard delivery method offered in the Shop) no later than 14 days from the day of receiving the returned Product or proof of its dispatch \u2013 whichever occurs first. The Customer bears the direct cost of returning the Product. The right of withdrawal does not apply in the cases set out in Article 38 of the Polish Consumer Rights Act, in particular in respect of Products delivered in sealed packaging which, once opened, cannot be returned for health protection or hygiene reasons, if the packaging was opened after delivery (e.g. certain cosmetics and supplements).<\/p>\n\n\n\n

\n\n\n\n

\u00a7 9<\/strong><\/p>\n\n\n\n

The Seller is liable to the Consumer and the Entrepreneur-Consumer for any lack of conformity of the Product with the agreement on the terms set out in the Polish Consumer Rights Act. If a lack of conformity is found, the Customer may demand repair or replacement of the Product and, in the cases specified by the Act, a price reduction or withdrawal from the agreement. A complaint may be submitted electronically to: contact@innubio.com<\/a>. It is recommended to provide details enabling the Order to be identified and to describe the objections (this will facilitate handling of the complaint). The Seller will respond to the complaint no later than 14 days from its receipt and will inform the Customer of the further procedure. In relation to Customers who are neither Consumers nor Entrepreneur-Consumers, the Seller’s liability under the statutory warranty is excluded to the fullest extent permitted by law.<\/p>\n\n\n\n

\u00a7 10<\/strong><\/p>\n\n\n\n

The controller of Customers’ personal data is the Seller. Personal data are processed for the purpose of fulfilling Orders and for the purposes indicated in the privacy policy available on the Site. The rules for processing data are set out in a separate document \u2013 the Privacy Policy.<\/p>\n\n\n\n

\n\n\n\n

\u00a7 11<\/strong><\/p>\n\n\n\n

Agreements between the Seller and the Customer are concluded in Polish. In the event of a dispute arising under a concluded Sales Agreement, the parties will seek to resolve it amicably. The applicable law is Polish law, subject to the mandatory provisions applicable to the Consumer. The Seller informs a Customer who is a Consumer of the possibility of using out-of-court complaint handling and redress procedures. The rules of access to these procedures are available at the offices or on the websites of the bodies entitled to out-of-court dispute resolution, in particular the district (municipal) consumer ombudsmen and the Regional Inspectorates of the Trade Inspection. A list of these bodies is available on the website of the Polish Office of Competition and Consumer Protection. The EU ODR platform is also available at https:\/\/ec.europa.eu\/consumers\/odr\/<\/a>. The Seller reserves the right to amend these Terms and Conditions. The Customer will be notified of every amendment to the Terms and Conditions by information about the change being posted on the website https:\/\/innubio.com\/<\/a> together with a summary of the changes. Notice of a planned change will be given no later than 14 calendar days before the amended Terms and Conditions enter into force. If the Customer does not accept the changes, they may terminate the agreement for the provision of electronic services (closing the account, if one was created) or stop using the Shop. Matters not governed by these Terms and Conditions are subject to Polish law, in particular the Civil Code, the Act on Providing Services by Electronic Means of 18 July 2002 and the Consumer Rights Act of 30 May 2014. These Terms and Conditions are effective from 22 August 2025.<\/p>\n\n\n\n
